  1. HIGH RESOLUTION DISC
  2. Licence Agreement 
  3.  
  4. THIS AGREEMENT is made on the 1st day of January 1998 
  5. BETWEEN STOCKBYTE<TM> of Tralee (hereinafter called 
  6. "the Company") of the one part and you the user 
  7. (hereinafter referred to as "the Licensee") of the 
  8. other part.  In consideration of you paying the agreed 
  9. licence fee and in consideration of your agreeing to be 
  10. bound by the terms and conditions contained in this 
  11. legal agreement, Stockbyte<TM> agrees to allow you to 
  12. use the enclosed CD in the manner permitted by this 
  13. Agreement on the terms and conditions as follows:
  14.  
  15. 1    Grant of Rights
  16. 1.1    In consideration of the obligations, warranties
  17. and undertakings of the Licensee in this Agreement, and
  18. subject to and conditional upon their full and timely 
  19. performance and observance, the Company grants to the 
  20. Licensee a non-transferrable non-exclusive licence to 
  21. use the photographic images and data contained on the 
  22. attached CD.
  23. 1.2    You may only use the photographic images and 
  24. data contained on the CD in the following ways:
  25. *    Advertising, promotional campaigns, presentations & brochures
  26. *    Web site, on line and multimedia projects
  27. *    Packaging
  28. 1.3    You may not use the photographic images or data 
  29. in the following ways:
  30. *     Postcards, calendars & framed prints
  31. *     Products produced for resale in quantities 
  32. greater than 100,000A simple upgrade to a resale licence is required.
  33. Prepress companies may not make Stockbyte<TM> images 
  34. available to their customers, or advertise the 
  35. availability of Stockbyte<TM> images, without the 
  36. purchase of a bureau licence from Stockbyte<TM>.
  37.  
  38. 2.    Warranties of the CompanyThe Company warrants, agrees
  39. and undertakes with the Licensee that:
  40. 2.1    To the best of the CompanyÆs knowledge, the 
  41. photographic works the subject matter of this Agreement
  42. are not defamatory, obscene or blasphemous, and do not 
  43. infringe any rights of copyright or other intellectual 
  44. property or proprietary rights of third parties, but no 
  45. right of action shall accrue against the Company in the 
  46. event of the said photographic works being deemed or 
  47. found to be defamatory, obscene or blasphemous or an 
  48. infringement of third party rights.
  49. 2.2    The Company warrants that all permissions and 
  50. consents required in relation to the exploitation of 
  51. persons and individuals featured in the said 
  52. photographic works have been obtained but that this 
  53. permission expressly and exclusively relates only to 
  54. activities and uses permitted by the terms of this 
  55. Agreement as outlined above.  Furthermore, no claim or 
  56. action of any sort can arise against the Company in this 
  57. Agreement for the use of these images and no liability 
  58. can attach to the Company for any acts, omissions or 
  59. failures on the part of the Licensee to comply with the 
  60. terms of this Agreement.
  61.  
  62. 3.    Remuneration
  63. 3.1    The Licensee agrees to pay in advance for the 
  64. licensed use of the photographic images and data as 
  65. agreed under the terms of this Agreement in advance of 
  66. any use of such images or data.
  67. 3.2    The Licensee warrants, undertakes and accepts 
  68. that permission to use the said photographic works, the 
  69. subject matter of this Agreement will only be deemed to 
  70. have been given after receipt by the Company of the 
  71. agreed remuneration, and the Licensee fully accepts 
  72. that the Licensee has no right to use the said 
  73. photographic works in any manner until the said 
  74. remuneration has been paid.
  75.  
  76. 4.    Warranties of the LicenseeThe Licensee warrants and 
  77. undertakes, confirms and agrees with the Company:
  78. 4.1    That all rights of a proprietary and copyright 
  79. nature and title in and to the photographic works and 
  80. materials are expressly acknowledged as the property of 
  81. the Company and subject only to the non-exclusive, 
  82. non-transferrable licence contained in this Agreement, 
  83. which does not confer any copyright or proprietary 
  84. rights of any nature whatsoever on the Licensee aside 
  85. from the uses specified in this Agreement.
  86. 4.2    The Licensee shall use the photographic works 
  87. in the manner and in the context agreed by the Company 
  88. and as outlined in this Agreement and shall not by any 
  89. act or omission impair or prejudice the copyright in the 
  90. photographic works, or violate any moral right or deal 
  91. with the photographic works or materials so that any 
  92. third party might obtain any lien or other right of 
  93. whatever nature incompatible with the rights of the 
  94. Company, and nothing may be superimposed, inserted, 
  95. transposed, merged or added to the said photographic 
  96. works nor may they be altered or distorted in any way 
  97. or used in any fashion which could be regarded as 
  98. derogatory, offensive, blasphemous, defamatory, 
  99. libellous, obscene or pornographic. Furthermore, no 
  100. part, segment or piece of any photographic image or 
  101. data, no matter how small, may be used or merged in 
  102. connection with other images or artwork so as to create 
  103. a new image which could be regarded as derogatory, 
  104. offensive, blasphemous, defamatory, obscene, 
  105. pornographic or libellous.
  106. 4.3    The Licensee shall ensure that all copies of the 
  107. photographic works and materials published and 
  108. distributed by the Licensee shall contain full and 
  109. accurate copyright notices, credit attributions and 
  110. acknowledgements that the copyright is retained in the 
  111. works by the Company, and that reproduction is permitted 
  112. under limited licence from the Company.
  113. 4.4    The Licensee shall give full particulars to the 
  114. Company as soon as the Licensee becomes aware of any 
  115. actual or threatened claim by any third party in 
  116. connection with the photographic works.
  117. 4.5    The Licensee shall retain total control and 
  118. possession at all times of the photographic works and 
  119. materials and ensure that these are kept in safe and 
  120. secure storage facilities and shall not allow the 
  121. photographic works or materials to fall into the hands 
  122. of third parties who are not licensed by this Agreement.
  123. 4.6    The Licensee shall indemnify and keep fully 
  124. indemnified the Company from and against all actions, 
  125. proceedings, claims, demands, costs (including any legal 
  126. costs or expenses properly incurred and any compensation 
  127. costs and disbursements paid by the Licensee on the 
  128. advice of their legal advisors to compromise or settle 
  129. any claim), awards and damages arising directly or 
  130. indirectly as a result of any breach or non-performance 
  131. by the Licensee of any of the LicenseeÆs undertakings, 
  132. warranties or obligations under this Agreement.
  133. 4.7    The Licensee warrants and undertakes not to 
  134. assign or licence the use of the photographic works and 
  135. materials or any image or any portion thereof for any 
  136. purpose other than those purposes specifically agreed 
  137. between the Company and the Licensee under this 
  138. Agreement.  In particular, the Licensee may not loan, 
  139. rent, hire or otherwise transfer or purport to transfer 
  140. the right to use the photographic materials or works in 
  141. any way to any other person or entity.
  142. 4.8    The Licensee accepts that the Company supplies 
  143. the photographic works and materials "as is" and that 
  144. the Company makes no warranty either express or implied 
  145. of merchantability, fitness for purpose, type or quality 
  146. of image or compatibility with any other facility.  The 
  147. company shall not be liable for any damages whether 
  148. direct, indirect, consequential or incidental arising 
  149. out of the use of the said photographic works either as 
  150. permitted under this Licence Agreement or otherwise.
  151. 4.9    The Licensee accepts and warrants that use of 
  152. the photograph images, and data shall not infringe any 
  153. third party rights, of any nature, and any liability for 
  154. the infringement of third party rights, of whatsoever 
  155. nature, shall rest with the Licensee.
  156.  
  157. 5.    Determination It shall constitute repudiation by 
  158. the Licensee of its obligations under this Agreement if:
  159. 5.1    The Licensee fails to pay any amount due under 
  160. this Agreement within two weeks of the due date.
  161. 5.2    The Licensee is in breach of any other term of 
  162. this Agreement.
  163. 5.3    Any of the LicenseeÆ representations 
  164. shall prove to have been incorrect.
  165. 5.4    The Licensee is declared or becomes insolvent or
  166. bankrupt, or the Licensee is put into examinership, 
  167. receivership, administration or liquidation.    
  168. The Company reserves the right to accept such 
  169. repudiation on the part of the Licensee and to determine 
  170. the Licence Agreement forthwith and to demand the 
  171. immediate return of all photographic works and materials
  172. in whatever form supplied or held created or produced by 
  173. the Licensee.
  174.  
  175. 6.    Miscellaneous
  176. 6.1    The provisions of this Agreement shall be 
  177. governed by and construed in accordance with the laws 
  178. of the Republic of Ireland, whose courts shall be the 
  179. courts of sole jurisdiction in relation to this 
  180. Agreement.6.2    This Agreement contains the full and complete 
  181. understanding between the parties, and supersedes all 
  182. prior arrangements and understandings whether written 
  183. or oral appertaining to the subject matter of this 
  184. Agreement, and may not be varied except by an instrument 
  185. in writing signed by all the parties to this Agreement.

  187. 7.    Dot Gain Adjustment Curves
  188. 7.1    All Stockbyte<TM> images are optimised for the 
  189.     following conditions:
  190.     *    Coated art stock
  191.     *    Positive film separations
  192.     *    Eurostandard proofing
  193. 7.2    Adjusting Stockbyte<TM>images for other press 
  194. conditions.We have created the following Photoshop<TM> 
  195. curves which will allow you to amend the Stockbyte<TM> 
  196. images easily for different conditions. Use COMMAND 
  197. MODIFY and LOAD the appropriate curve. To be sure that 
  198. the dot gain we have estimated is appropriate to your 
  199. printing conditions and materials, we suggest that you 
  200. run a proof before printing. We advise using a 
  201. calibrated monitor for all prepress work.
  202. *    Coated Stock - Negative Working (Coat-Neg)
  203.     Apply this curve in Photoshop<TM> if the 
  204.     following conditions apply:    
  205.     - Coated art stock    
  206.     - Negative film separations
  207.  
  208. *    Uncoated paper - Negative Working (Uncoat-Neg)    
  209.     Apply this curve in Photoshop<TM> if the 
  210.     following conditions apply:
  211.     - Uncoated stock
  212.     - Negative film separations

  214. *    Uncoated Paper - Positive Working (Uncoat-Pos)        
  215.     Apply this curve in Photoshop<TM> if the 
  216.     following conditions apply:    
  217.     - Uncoated stock        
  218.     - Positive film separations
